Store Terms of Use

Welcome to Friend in Store. These Store Terms of Use govern a store’s participation in and interactions with Friend in Store and the Friend in Store app.

Editorial Store Features

Friend in Store independently selects stores to feature editorially in the “Stores” section of the App. A store does not need to request or pay to be featured. Friend in Store creates the initial Store feature, including photographs taken by Friend in Store and editorial descriptions written by Friend in Store.

Certain factual business information displayed in a Store feature is sourced through Google Places, including the Store’s website, address, directions and map links, hours, and phone number. Friend in Store does not control or edit this Google Places information.

A Store may request changes or additions to its feature, provide additional information or content, or opt out of being featured.

Friend in Store reserves the right to modify, discontinue, or introduce fees for optional Store participation or activation opportunities in the future. Any applicable fees or additional terms will be disclosed before a Store elects to participate.

Optional Store Participation

All Store participation and activation opportunities are optional and currently provided at no cost to Stores. Stores may request feature changes, submit events, opt in to allow Friend in Store to source events publicly shared on Instagram, share Store News, offer optional perks, and display Friend in Store-provided signage.

Events

A Store may submit event information directly or opt in to allow Friend in Store to source event information from events the Store publicly shares on Instagram. The Store is responsible for the accuracy and currency of event information it provides or publicly posts. Friend in Store may link users to third-party ticketing or RSVP pages but does not process payments, ticket purchases, or RSVPs through the App.

Perks

A Store may choose to offer a perk. The Store determines and is responsible for eligibility, availability, redemption instructions, restrictions, expiration dates, and other terms. Friend in Store may display redemption details but does not provide or guarantee the perk.

Friend in Store Signage

A Store choosing to display Friend in Store-provided or approved signage receives a limited, non-exclusive, revocable permission to display it solely for that purpose. No other use of Friend in Store trademarks or brand materials is permitted without prior written permission.

Business Contributed Material

Content a Store provides, including event information, Store News, requested description changes, perk details, images, video, logos, graphics, or illustrations, must comply with applicable law. The Store represents that it owns or has the rights needed to provide such material and grants Friend in Store a non-exclusive, royalty-free license to use it as reasonably necessary to operate, promote, and provide the App and Store feature.

The Store is responsible for ensuring that Business Contributed Material is accurate, current, and does not infringe or violate the intellectual property, privacy, publicity, or other rights of any third party.

Friend in Store-Created Content

Photographs taken by Friend in Store, editorial descriptions written by Friend in Store, and other original content created by Friend in Store remain the property of Friend in Store. A Store’s ability to request changes does not transfer ownership of that content.

Third-Party Links

The App may contain links to third-party websites, ticketing or RSVP pages, map services, or other resources. Friend in Store does not control and accepts no responsibility for those third parties or transactions with them.

Editorial Discretion

Friend in Store retains editorial discretion over Store features and may edit, update, suspend, or remove a Store feature or other content from the App at any time, subject to applicable law.

Intellectual Property Rights

The App and its original contents, features, and functionality are owned by Friend in Store or its licensors and protected by applicable intellectual property laws.

Disclaimer of Warranties

YOUR USE OF THE APP AND ITS CONTENT IS AT YOUR OWN RISK. THE APP AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, TO THE FULLEST EXTENT PROVIDED BY LAW.

Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, FRIEND IN STORE WILL NOT BE LIABLE FOR DAMAGES ARISING OUT OF OR IN CONNECTION WITH USE OF, OR INABILITY TO USE, THE APP OR ITS CONTENT.

Indemnification

You agree to defend, indemnify, and hold harmless Friend in Store and its affiliates, service providers, officers, directors, employees, contractors, agents, successors, and assigns from claims, liabilities, damages, losses, costs, expenses, or fees arising out of your violation of these Terms or Business Contributed Material.

Governing Law

All matters relating to the App and these Terms of Use shall be governed by the internal laws of the State of New York without giving effect to conflict of law provisions.
